End User License Agreement (EULA)

Important: This End User License Agreement ("EULA") is a legal agreement between you and Acme Factory Inc. By installing, copying, or using The Printer App software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the software.

1. Definitions

"Software" means The Printer App application, along with any updates, patches, or modifications.
"Licensor" means Acme Factory Inc.
"Licensee" or "You" means the individual or entity that has obtained a license to use the Software.
"Device" means a computer or other electronic device on which the Software is installed.

2. Grant of License

Subject to the terms of this EULA and your valid license purchase or subscription, Acme Factory Inc. grants you a limited, non-exclusive, non-transferable license to:

Download and install the Software on Devices you own or control
Use the Software in accordance with your purchased license tier
Make reasonable backup copies of the Software

2.1 License Tiers

The Software may be offered under various licensing tiers, which may include but are not limited to:

Trial: A time-limited or feature-limited version for evaluation purposes
Personal License: For individual, non-commercial use
Professional License: For commercial and professional use

The specific features, limitations, pricing, and terms of each tier will be published on our website. Acme Factory Inc. reserves the right to introduce, modify, or discontinue tiers at any time at its sole discretion.

2.2 Trial Period

If a free trial is offered, you may use the Software with limited functionality or for a limited time. Continued use beyond the trial period requires a valid paid license. Circumventing trial limitations is a violation of this EULA.

3. Restrictions

You may NOT:

Copy or Distribute: Make copies of the Software for distribution to others, except for reasonable backup purposes
Modify: Alter, adapt, translate, or create derivative works based on the Software
Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
Rent or Lease: Rent, lease, lend, or provide commercial hosting services with the Software
Transfer: Transfer, assign, or sublicense your license rights to any other person or entity
Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Circumvent: Bypass, disable, or circumvent any license validation, copy protection, or security features

4. Content Ownership

You retain all ownership rights to your photos, images, and other content processed by the Software. Acme Factory Inc. claims no ownership or rights to your content.

You are solely responsible for ensuring that all images you print using the Software are legally owned or properly licensed by you.

5. Intellectual Property

The Software is protected by copyright laws and international treaties. Acme Factory Inc. retains all intellectual property rights in the Software, including but not limited to:

Source code and object code
User interface design and graphics
Documentation and help files
Trademarks and trade names

This EULA does not grant you any rights to trademarks or service marks of Acme Factory Inc.

6. Updates and Support

6.1 Software Updates

Acme Factory Inc. may release updates, patches, or new versions of the Software. Updates may be:

Minor updates within your licensed version are included. Major version upgrades may require additional fees or a new license purchase.

6.2 Support

Technical support is provided via email on a best-effort basis. Support is available at support@theprinterapp.com.

7. Third-Party Components

The Software includes third-party open-source components. These components are subject to their respective licenses. Key third-party components include:

8. Data and Privacy

The Software processes your images locally on your Device. We do not collect, transmit, or store your images or their contents. For complete details, see our Privacy Policy.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Acme Factory Inc. does not warrant that:

The Software will meet your requirements
The Software will be uninterrupted, timely, secure, or error-free
Print output will exactly match on-screen previews
Any errors in the Software will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACME FACTORY INC. BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

Loss of data or image files
Loss of profits, revenue, or business opportunities
Wasted printing materials or ink
Computer failure, malfunction, or data corruption
Cost of substitute goods or services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Acme Factory Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Software
Your violation of this EULA
Your violation of any rights of a third party

12. Term and Termination

12.1 Term

This EULA is effective until terminated. Your license rights are perpetual for the version obtained, subject to compliance with this EULA.

12.2 Termination by You

You may terminate this EULA at any time by uninstalling the Software and destroying all copies in your possession.

12.3 Termination by Licensor

Acme Factory Inc. may terminate this EULA immediately if you fail to comply with any term. Upon termination:

All license rights granted to you will immediately cease
You must uninstall the Software and destroy all copies
Sections 4, 5, 9, 10, 11, and 14 shall survive termination

13. Export Compliance

You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to any country, person, or entity prohibited by applicable laws.

14. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising under this EULA shall be resolved through binding arbitration in Vancouver, British Columbia, Canada, in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC).

15. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Acme Factory Inc. regarding the Software and supersedes all prior agreements and understandings.

17. Amendments

Acme Factory Inc. reserves the right to modify this EULA at any time. We will notify you of material changes by posting the updated EULA on our website. Your continued use of the Software after such changes constitutes acceptance of the modified EULA.
